Terms & Conditions

These Terms & Conditions (“Terms”) govern the use of the OneBrain Solutions SPA website and the engagement of our consulting and training services. By using the site or hiring us, you agree to these Terms.

1. Definitions

“Site”: this website and subpages.
“Client”: any person or entity hiring our services.
“Services”: consulting, modelling, simulations, training and others described in our proposals.

2. Site use

You may browse freely. You agree not to attempt to breach or disrupt the Site’s security, availability or integrity.

3. Proposals, scope & deliverables

Each engagement is governed by a proposal / purchase order stating scope, timeline, fees and deliverables. Scope changes require written agreement.

4. Intellectual property

Our internal code, methods, templates, libraries and know-how remain our property. Final deliverables (reports, dashboards, model parameters) become the Client’s for internal use once fully paid. Third-party software (e.g., METSIM®) is governed by its own licenses.

5. Confidentiality

Each party shall keep the other’s technical, commercial and business information confidential for 5 years after completion, except for information that becomes public without breach.

6. Data protection

We process personal data according to our Privacy Policy and applicable laws. Client warrants it is authorized to share data and does not infringe third-party rights.

7. Fees & payment

Unless otherwise agreed, invoices are milestone-based or monthly. Payment term is net 30 days, in USD or CLP, plus taxes. Delays over 15 days may pause deliveries and support. Approved expenses are rebilled.

8. Warranties & liability

We render services with professional diligence. We do not guarantee specific business results. Our total liability for direct damages is limited to the amounts effectively paid by Client in the preceding 6 months. We are not liable for lost profits, data loss or indirect damages.

9. Third-party links

We are not responsible for third-party sites or practices.

10. Changes

We may update these Terms by posting a revised version on the Site.

11. Governing law & venue

These Terms are governed by the laws of the Republic of Chile. The parties submit to the ordinary courts of Santiago, Chile. Services may be provided to Clients across Latin America.
